1. Acceptance of These Terms

By registering an account, accessing our website, or using our services or API, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

2. Eligibility & Accounts

You must be at least 18 years old and legally able to enter into this agreement. You are responsible for:

• Providing accurate and complete registration information.
• Keeping your login credentials and API keys confidential.
• All activity that occurs under your account, including any sub-accounts you create.
• Ensuring that any SIM cards you host on the platform are yours or that you have full authorisation to use them.

We may suspend or terminate accounts that provide false information or are used unlawfully.

3. Our Services

Ogdams SimHosting provides telecom automation services, including:

• SIM hosting on supported Android devices.
• Data bundle vending and airtime VTU across MTN, Airtel, Glo and T2Mobile.
• Cloud vending through linked SIM pools.
• Share & sell (SNS) airtime and custom USSD execution.
• A reseller REST API for automated vending.

Service availability depends on third-party telecom operators, and we do not guarantee uninterrupted availability.

4. Account Security & API Credentials

Your API keys and login credentials are sensitive. You must not share them with unauthorised persons. We may provide features such as IP allow-listing to help you secure your keys.

You are responsible for all requests made with your API keys. If you believe your credentials have been compromised, regenerate them immediately and contact us.

5. Wallet, Balances & Funding

You fund your wallet to pay for vending and other services. Wallet funding is processed through our payment providers.

• Funds added to your wallet are available for eligible transactions once payment is confirmed.
• We may place holds or reverse transactions to prevent fraud or comply with legal obligations.
• You are responsible for confirming that beneficiary phone numbers are correct before vending.

6. Fees, Pricing & Payment

All prices, fees and charges are displayed on our website and may change from time to time. Changes apply to transactions placed after the update. Payment is due at the time of transaction. Refunds are issued in accordance with our refund and dispute policy (Section 7).

7. Orders, Vending & Refunds

Transactions you submit are processed by the applicable telecom operator. Because delivery depends on third parties:

• We will use reasonable efforts to deliver your order and provide transaction status updates.
• If a transaction fails, the corresponding amount may be reversed to your wallet.
• Refunds for successful deliveries are not available unless required by law or agreed by us.
• To dispute a failed or incorrect transaction, contact us within a reasonable time with the transaction reference.

8. Prohibited Uses

You may not use our services to:

• Engage in any illegal, fraudulent or deceptive activity.
• Resell or sublicense our platform, API or data without written permission.
• Attempt to access accounts, systems or data you are not authorised to access.
• Interfere with, disrupt, or overload our servers or services.
• Use the services in violation of applicable telecom operator or regulatory rules.
• Host SIM cards or perform vending for any unlawful purpose.

9. Intellectual Property

Our platform, website, branding, documentation and software are the property of OGDAMS TECHNOLOGIES LTD or its licensors. You receive a limited, non-exclusive, revocable right to use our services for your own lawful business. Nothing grants you ownership of our intellectual property.

10. Privacy

Your use of our services is subject to our Privacy Policy, which explains how we handle your personal information.

11. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the services will be uninterrupted, error-free or that defects will be corrected.

12. Limitation of Liability

To the maximum extent permitted by law, OGDAMS TECHNOLOGIES LTD shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, goodwill or business opportunities arising from your use of the services. Our total liability for any claim relating to the services shall not exceed the amount you paid us in the three (3) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless OGDAMS TECHNOLOGIES LTD and its officers, employees and agents from any claims, losses, liabilities and expenses arising out of your use of the services, your violation of these Terms, or your violation of any law or the rights of a third party.

14. Termination

You may stop using our services at any time. We may suspend or terminate your access where you breach these Terms, engage in fraudulent or unlawful activity, or where required by law. Upon termination, your right to use the services ends, but provisions that by their nature survive termination will continue to apply.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Nigeria, and we will first attempt to resolve disputes amicably.

16. Changes to These Terms

We may revise these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. It is your responsibility to check this page periodically for changes. Where changes are material, we will also notify you directly. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
